vendor terms

This is the agreement between Kaparay and every boutique or professional seller trading on the platform. It sits alongside the terms of service, which still apply; where the two differ for vendors, this page wins. Written to be read, like everything else here.
1.What this agreement covers
These vendor terms apply to anyone selling on Kaparay as a business: boutiques, traders and any seller whose listings carry the "Professional seller" mark. They form part of, and should be read with, the terms of service, the returns policy and the prohibited items policy. By applying for a boutique, or by trading as a vendor, you accept them.
Vendors must be established in the United Kingdom. Onboarding businesses based outside the UK is not available at present.
2.Becoming a vendor
You apply with your business details: business name, geographic address, a complaint contact, your company registration number where you have one, and your VAT number if you are registered. A person at Kaparay reviews every application; we aim to reply within two working days. Approval is at our discretion and an application may be declined with a stated reason.
Once approved, you complete business verification and payment setup with Stripe, our payment provider, before your storefront can go live. You keep your own Stripe relationship and dashboard; Kaparay sends your sale proceeds to it as described in section 5.
3.Trading as a business: what you must display
Buyers are entitled to know they are buying from a business. Your storefront displays your business name, geographic address and complaint contact, and every one of your listings is marked "Professional seller". You must keep these details accurate for as long as you trade; a storefront cannot go live, or stay live, without them.
Consumer law applies to your sales in full, including the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013. The contract of sale for each order is between you and the buyer; Kaparay provides the marketplace, processes the payment and holds it until delivery is confirmed.
4.Commission and fees
Listing is free. When a piece sells, Kaparay takes a commission of 10% of the item price: never on postage, never on the buyer protection fee. A different rate may be agreed with you in writing; where one is, that agreed rate applies instead and is shown in your dashboard.
Your effective rate is snapshotted when an order is placed: a rate change never touches an order already in flight. Changes to your rate are agreed or notified before they take effect and apply to future orders only.
5.Payouts
Your proceeds for an order (item price less commission, plus postage where it is passed through to you) are transferred to your Stripe account once delivery is confirmed plus the 48-hour issue window, or sooner if the buyer confirms all is well. From there, funds reach your bank on your own Stripe payout schedule.
We do not hold your money for the buyer's full 14-day cancellation window. If an order is refunded after your payout has been released, the amount is recovered as described in section 7.
6.Cancellations and returns: your obligations
Under the Consumer Contracts Regulations 2013, a buyer may cancel an order from you for any reason up to 14 days after delivery, and then has 14 further days to send the item back. The refund covers the item price, the standard outbound postage and the buyer protection fee, and must be made within 14 days of the return arriving with you or the buyer providing proof of postage. Return postage is the buyer's where that was disclosed before purchase.
Under the Consumer Rights Act 2015, your goods must match their description. Where they do not, the buyer's statutory remedies apply in full, including the 30-day right to reject, and are honoured beyond the in-app returns window. On upheld not-as-described claims you also bear the buyer's return postage.
Your storefront states your returns policy. The statutory 14-day minimum is prefilled and you may extend it; you may never reduce it. The in-app returns flow is the convenient route for buyers, never a cap on their statutory rights, and you must not ask a buyer to waive them.
7.Refunds and recovery
Buyer refunds are issued by Kaparay through Stripe and never depend on recovering money from you first. Where an order is refunded after your payout has been released, you authorise Kaparay to recover the amount you received for that order by reversing the transfer, by netting it against your balance or future payouts, or by invoicing you where neither is possible. Recovery is limited to what you actually received: commission Kaparay kept is Kaparay's to refund, not yours.
8.Listing and dispatch standards
The selling standards in the terms of service apply, and as a business they are not optional:
- list only items you own and are entitled to sell, described honestly, with your own photography and every flaw shown
- dispatch with a tracked service within 5 working days of the sale; orders not dispatched by the end of working day 5 are cancelled automatically and the buyer refunded in full
- nothing on the prohibited items list, and no counterfeits, without exception
- keep every transaction on Kaparay: taking payment off the platform is a breach of this agreement
- respond to buyer messages and complaints through your stated complaint contact within a reasonable time
9.VAT and tax
You are responsible for your own VAT. Kaparay does not compute or collect VAT on your item prices; if you are VAT-registered, accounting for VAT on your sales (including under the second-hand margin scheme, where it applies) and issuing any formal VAT invoice is yours to do. Your business details, and your VAT number where registered, appear on the buyer's order document.
UK digital platform reporting rules require Kaparay to report seller information and earnings to HMRC each year, as described in the privacy policy. You receive a copy of what we report about you.
10.Suspension, termination and winding down
Kaparay may restrict or suspend a vendor account that breaches this agreement, after human review, with a stated reason and a real appeal path: write to enquiries@kaparay.com and a person will look again. A confirmed counterfeit is treated with zero tolerance; a second confirmed counterfeit is a permanent ban.
Either of us may end this agreement with notice. You can wind down at any time: your storefront closes to new orders, orders already placed must still be fulfilled and remain subject to these terms, and money you have earned on completed orders is paid out as normal. Suspension or termination never withholds money already earned, except where a specific order is under dispute or recovery under section 7 is outstanding. Sections 6, 7 and 9 survive termination for orders placed before it.
11.Changes to these terms
We may update these vendor terms. Material changes are notified by email before they take effect, with the new effective date stated. Continued trading after that date is acceptance; if you do not accept, you may wind down as described in section 10.
12.Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
